Corporate Inversion is the term used when a U.S. company merges with or acquires an international company, making the new home of this company a place located outside of the U.S. By doing so, this company now domiciled in a foreign country usually becomes subject to more favorable corporate tax treatment, which almost immediately benefits their bottom line. In 2016, under then President, Barack Obama, the government imposed new tax rules in a move to block the $160 million merger between U.S. pharmaceutical giant, Pfizer and Ireland based pharmaceutical company, Allergan. This failed transaction essentially marked the end of this practice overall by U.S. companies. On one hand, this measure by the government may have helped keep domestic jobs in the U.S. (1) On the other hand, has this deterrence by the government hindered the ability of companies such as Pfizer to grow inorganically?
Many large capitalized, United States companies, like Apple, Cisco Systems and Microsoft, for example, have earned billions of dollars overseas and for years have kept that money there. This was due primarily to the high tax liability they would have incurred had they brought that money into the United States. Under the recent tax overhaul (Tax Reform Act) that went into effect on January 1, 2018, there is a provision contained providing an opportunity to allow companies such as those previously mentioned to bring this capital back into the United States at a significant discount in the amount of tax due the United States government. This “repatriation of capital”, as it is known, has been highly anticipated is expected to result in new investments in the U.S., the acquisition of other companies, job creation, buybacks of companies’ stock and perhaps increases in stock dividends or the payment of special dividends to current shareholders. All these potential actions sound like a big win, with the U.S. being the beneficiary. However, consider the other side of this action.
